Agreement to Terms

By accessing or using the services provided by University Soccer Management LLC ("USM", "we", "our", or "us"), including our website, platform, content, and deliverables (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our Services.

Eligibility and Access

You represent and warrant that you are at least 18 years of age and are authorized to act on behalf of the organization or institution you represent. USM Services are intended for use by universities, colleges, coaches, and athletic staff operating within lawful purposes.

Description of Services

USM provides customized consulting and digital services related to soccer program development, tactical analysis, training design, player scouting, physical preparation, and related coaching support, primarily delivered remotely via a proprietary or third-party platform.

Intellectual Property

All materials provided by USM, including but not limited to reports, designs, video analysis, templates, and branding, are owned by USM and protected under applicable intellectual property laws. No content may be copied, distributed, sold, or used without our prior written consent.

Client Materials

You may provide materials (e.g., match footage, rosters, scouting profiles) for use in the Services. You retain all rights to such content. By submitting it, you grant USM a limited, non-exclusive license to use, analyze, and process this content solely for the purpose of delivering our Services.

Confidentiality

We maintain strict confidentiality regarding all client-provided data and deliverables. No client information will be shared or published without express written consent, unless required by law.

Payment Terms

Fees for Services are due as per the agreed pricing and billing schedule. Failure to make payment may result in suspension or termination of access. All payments are processed securely through compliant third-party providers.

No Guarantee of Outcomes

While our team includes experienced professionals, USM does not guarantee specific results, performance improvements, or match outcomes based on the Services. Final decisions and applications of our content remain the responsibility of the client.

Limitation of Liability

To the fullest extent permitted by law, USM shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, profits, or goodwill, arising out of or related to your use of our Services.

Modifications to Services or Terms

We reserve the right to modify, suspend, or discontinue any part of our Services or these Terms at any time. We will notify users of material changes via the website or registered email address.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any legal action shall be brought exclusively in the state or federal courts located in Delaware.
